1. AGREEMENT TO TERMS These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you," or "your"), and TerraScale AI ("Company," "we," "us," or "our"), concerning your access to and use of the TerraScale AI Booking Bot platform, software, and related services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. DESCRIPTION OF SERVICES TerraScale AI Booking Bot provides automated B2B customer service and appointment scheduling solutions, including AI-driven SMS response systems ("Missed Call Text-Back"), calendar synchronization, and automated dispatch communications designed for service businesses.

3. SUBSCRIPTION & PAYMENT TERMS

Fees: You agree to pay all applicable subscription fees as outlined upon signup. All fees are billed in USD on a recurring basis (monthly or annually) depending on your selected plan.

Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless canceled prior to the renewal date.

Refund Policy: Due to the instant delivery of digital services and infrastructure allocation, all subscription payments are non-refundable unless required by applicable law.

4. SMS & TELECOMMUNICATION COMPLIANCE (A2P 10DLC) If you utilize our Services to send SMS communications or automated responses to your end-customers ("End-Users"):

Consent & Opt-In: You explicitly represent and warrant that you have obtained all necessary prior express written consents from your End-Users before sending them any automated SMS messages or communications, in compliance with the Telephone Consumer Protection Act (TCPA) and applicable local laws.

Opt-Out (STOP): You agree that all SMS workflows will support standard opt-out keywords (e.g., STOP, UNSUBSCRIBE, CANCEL) to allow End-Users to opt out of future communications.

Acceptable Messaging: You agree not to send spam, misleading, fraudulent, or prohibited content (including illegal services, debt collection, or inappropriate material) through our platform.

5. INTELLECTUAL PROPERTY RIGHTS Unless otherwise indicated, the Services, including all source code, databases, software, website designs, audio, video, text, and trademarks (the "Marks"), are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

6. LIMITATION OF LIABILITY To the fullest extent permitted by law, in no event will TerraScale AI, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services or any automated scheduling errors, double-bookings, or missed calls.

7. GOVERNING LAW These Terms shall be governed by and defined following the laws of the State of [Your US State, e.g., Delaware], without regard to its conflict of law principles.
